Executed: Four documents are executed. The order form of 10 Nov 2025 sets the Growth subscription at £44k a year plus a £12k one-off implementation, running 24 Nov 2025 to 23 Nov 2026, invoiced quarterly in advance on 30-day terms.
The MSA and DPA, both signed 10 Nov 2025, sit alongside it, and the MSA states it supersedes all earlier drafts. The add-on order form of 14 May 2026 adds 10 users at £4,000 a year, with a total contract value of £2,115 to 23 Nov 2026.
Open items: The renewal proposal of 16 Sep 2026 offers £54k a year for 50 licensed users, twelve months, billed annually in advance. No signature or acceptance is shown, and its internal draft of 11 Sep 2026 carries the same price.
The 9 Oct 2025 draft MSA and the 2025 proposals are superseded by the executed paper. The expansion proposal of 20 Apr 2026 and its draft of 15 Apr 2026 were followed by the signed add-on.
Contradictions: Both renewal proposals call the current price £48k, but no executed document states that figure. The executed order forms state £44k and £4,000 separately.
The add-on order form bills annually, while the 20 Apr 2026 proposal said invoicing would follow the existing order form, which is quarterly. The renewal proposal also moves from quarterly to annual billing in advance, a change the customer would need to agree.
Commitments: These are live until 23 Nov 2026:
- Availability of 99.5%, with a service credit of 10% of one month's fee for availability breaches only, so data freshness is not credited.
- A P1 first response of 1 hour in business hours.
- A nightly refresh complete by 07:00 customer local time on business days, under the executed MSA.
- DPA duties, including breach notice without undue delay and deletion or return of data at the end of the services.
Gaps: All 14 documents were read. No executed document states a renewal mechanism, auto-renewal or notice period, and every executed copy names the customer signer only as an authorised signatory.
No executed document fixes a renewal price. The evidence does not show how the add-on users renew beyond being handled together with the Growth subscription.
