Current to 13 Oct 26Executed paper: a Growth order form of 17 Oct 2025 at £42k a year to 31 Oct 2026, and a connector add-on of 7 Apr 2026 at £5,000 per year. Renewal at £55k is only proposed, and later documents cite a £47k contracted figure that no executed document states.
Executed: Four documents carry an executed status.
- Order form, 17 Oct 2025: Growth subscription at £42k a year after a 5% first-term discount, 1 Nov 2025 to 31 Oct 2026, plus a £12k one-off implementation.
- Order form, 7 Apr 2026: additional five connectors at £5,000 per year, co-termed to 31 Oct 2026, with a term value of £2,836.
- MSA and Data Processing Agreement, both signed 17 Oct 2025.
Open items: The renewal proposal of 28 Aug 2026 is stored as final but unsigned. It offers £55k a year for 40 users for twelve months from 31 Oct 2026, which its own text places above the £50k Growth v2 list.
The internal draft of that renewal proposal, dated 25 Aug 2026, was held back over usage concerns. The draft MSA v2 of 29 Sep 2025 and the expansion proposals of 3 Mar 2026 and 6 Mar 2026 are superseded by executed paper.
Contradictions:
- The draft order form v3 of 26 Mar 2026 shows £5,500 annual recurring for the connector line; the executed order form of 7 Apr 2026 says £5,000 per year.
- The renewal proposal of 28 Aug 2026 and the QBR of 22 Sep 2026 give £47k as contracted; no executed document states that figure.
- The executed order form of 17 Oct 2025 states P1 first response as 1 hour; the executed MSA says one business hour.
Commitments: Availability 99.5%, with a service credit of 10% of one month's fee for availability breaches only; data freshness is not credited. Billing is annual in advance, payable 30 days from the invoice date.
The connector add-on ends with the Growth term and is renewed together with it. The Data Processing Agreement keeps customer data in Clonvara's own Snowflake account and bars new sub-processors without the customer's authorisation.
Gaps: All 16 documents were read. No executed document names the Clonvara signatory, gives connector go-live dates or sets an auto-renewal or notice period.
The executed MSA states that renewal terms are not agreed. Nothing executed covers the period after 31 Oct 2026, and the 5% discount ends with the first term.
