Executed: The Master Services Agreement, the Data Processing Agreement and the Order Form were all signed on 16 Dec 2025. The signed order form sets the Growth tier at £45k per year, running 5 Jan 2026 to 4 Jan 2027.
Tom Ashdown signed for BB-Demo and Joost Verbeek, Head of Data, signed for Veldmaat Payments. The signed MSA puts the total contract value at £57k including the one-off implementation fee, which is not an annual price.
Open items: Three drafts remain on file: Proposal v1 (30 Oct 2025), Master Services Agreement v2 (25 Nov 2025) and Order Form v3 (3 Dec 2025). The executed copies of 16 Dec 2025 supersede each of them.
Contradictions:
- Order Form v3 (3 Dec 2025) proposed 99.9% availability and a thirty minute P1 first response. The signed order form holds 99.5% and 1 business hour.
- The draft MSA v2 (25 Nov 2025) left connector go-live open. The signed order form commits the accounting system connector live within sixty days of 5 Jan 2026.
- The final proposal of 4 Nov 2025 describes annual billing in advance, with quarterly billing on request. The signed order form bills quarterly.
Commitments: The signed order form sets 99.5% availability each month, P1 first response within 1 business hour and a daily refresh complete by 07:00 Amsterdam time. Service credits are 10% of one month's fee for availability only, so a missed refresh earns no credit.
Under the signed DPA, data stays in Veldmaat Payments' own Snowflake account. Sub-processors need prior written agreement, and breaches are reported without undue delay.
Gaps: No executed document states a renewal mechanism or notice period after 4 Jan 2027. None shows whether the accounting system connector went live within the committed period.
The draft MSA v2 describes the £45k as £50k less a 10% first-term discount. The executed reads do not restate the discount, and this matters for the renewal price.
The QBR decks of 28 May 2026 and 21 Sep 2026 label £45k as contracted annual recurring revenue. They are review decks, not contracts.
The 21 Sep 2026 deck from Elena Novak notes one overdue invoice and asks Tom to prepare the renewal proposal. This roll-up covers all 11 documents held.
