1. Definitions
In this Agreement:
- Data Controller means the party which determines the purposes and means of processing of Personal Data.
- Data Processor means the party which processes Personal Data on behalf of the Data Controller.
- Processing means any operation on Personal Data, including collection, recording, organisation, structuring, storage, adaptation, retrieval, use, transmission or erasure.
- Personal Data means any information relating to an identified or identifiable natural person.
2. Parties and Roles
BG-Demo Limited acts as Data Processor. Fulford Ings Software Limited acts as Data Controller. The Data Controller shall determine the purposes and means of processing. The Data Processor shall process Personal Data only on documented instructions from the Data Controller.
3. Scope
This Data Processing Agreement governs the processing of Personal Data by the Data Processor in the course of providing B-Glass service to the Data Controller, in accordance with the Master Services Agreement.
4. Processing Instructions
The Data Processor shall process Personal Data only:
Read the whole document (3,809 characters)
- For the purpose of providing the Service;
- In accordance with documented instructions from the Data Controller;
- For the duration of the Master Services Agreement.
The Data Controller shall inform the Data Processor of any change in applicable data protection law that affects the scope of processing.
5. Data Processor Obligations
The Data Processor shall:
- Process Personal Data only on documented instructions from the Data Controller;
- Ensure that persons authorised to process Personal Data are subject to confidentiality obligations;
- Implement appropriate technical and organisational measures to ensure security of Personal Data, including protection against unauthorised or unlawful processing;
- Provide assistance to the Data Controller in responding to Data Subject access requests;
- Assist the Data Controller in meeting its obligations under data protection law;
- Notify the Data Controller without undue delay of any Personal Data breach.
6. Sub-processors
The Data Processor may engage sub-processors only with prior documented consent from the Data Controller. The Data Processor shall impose equivalent data protection obligations on any sub-processor.
7. Data Subject Rights
The Data Processor shall, taking into account the nature of the processing, assist the Data Controller by appropriate technical and organisational means in fulfilling the Data Controller's obligation to respond to Data Subject rights requests.
8. International Transfers
The Data Processor shall not transfer Personal Data outside the United Kingdom without prior written consent and appropriate safeguards as required by applicable data protection law.
9. Deletion and Return of Data
Upon termination of the Master Services Agreement, the Data Processor shall, at the Data Controller's choice, delete or return all Personal Data provided by the Data Controller, and delete existing copies unless applicable law requires otherwise.
10. Audit and Inspection
The Data Processor shall make available all information necessary to demonstrate compliance with this Agreement and permit and contribute to audits and inspections by the Data Controller or its representatives.
11. Governing Law
This Agreement shall be governed by English law and the English courts shall have exclusive jurisdiction.
