Data Processing Agreement
This agreement is entered into between BG-Demo Limited ("Processor") and Marchbank Couriers ("Controller"), effective from Friday 10 November 2023.
1. Definitions
"Personal Data" means any information relating to an identified or identifiable natural person.
"Processing" means any operation performed on Personal Data.
"Data Subject" means the individual to whom Personal Data relates.
"Processor" means BG-Demo Limited.
"Controller" means Marchbank Couriers.
2. Processing Instructions
The Processor shall process Personal Data only on the instructions of the Controller and for the purpose of providing the software service.
3. Data Security
The Processor shall implement appropriate technical and organisational measures to protect Personal Data, including encryption, access controls and regular security assessments.
4. Subprocessors
The Processor may engage subprocessors. The Controller will be notified of new subprocessors at least ten business days in advance and may object on reasonable grounds.
5. Data Subject Rights

The Processor shall assist the Controller in responding to Data Subject requests, including access, deletion and portability rights, within applicable legal timeframes.
6. Audit Rights
The Controller may audit the Processor's compliance with this agreement upon reasonable notice to BG-Demo Limited.

On termination of the service, the Processor shall delete or return Personal Data within thirty days, as instructed by the Controller.
