What this says
As at Fri 9 Oct 2026Unsigned draft MSA for the Starter tier, 1 Jun 2025 to 31 May 2026. States 99.5% availability, P1 first response within 4 business hours, and £26k total contract value: £20k subscription plus £6,000 implementation. Not executed.
What it is: a draft Master Services Agreement between BG-Demo Limited and Copperlane Payroll for the Starter tier. It is marked "DRAFT" and says "Signature blocks will be added to the final executed version."
Commits: availability of 99.5% measured monthly, refresh by 07:00 UK time on business days, and P1 first response within 4 business hours. The subscription is £20k payable in advance and the implementation fee £6,000 within 30 days of invoice.
Unusual: the credit is 5% of one month's subscription fee and is the "sole remedy" for availability breaches. Renewal is by written agreement at least 30 days before expiry.
Not settled: the text does not show that this was ever signed. Only an executed order form or contract can fix the terms, and the 31 May 2026 end date is already past, so no renewal terms are stated.
