Executed MSA signed 16 Jan 2026 for the Growth tier. Availability 99.5%, P1 first response 1 business hour, annual fee £50k plus £12k one-off implementation. Initial term runs 2 Feb 2026 to 1 Feb 2027.

What it is: the executed Master Services Agreement between BG-Demo and Wexmoor Property Group, signed 16 Jan 2026 by Jordan Pike for BG-Demo. The customer signatory is shown only as an authorised signatory, with no name.

Commits: the Growth subscription at £50k a year, billed annually in advance, plus a £12k one-off implementation. Invoices are "payable within 30 days of the invoice date", and the service credit is "10% of one month's fee, for each month with an availability breach".

Unusual: the £50k matches the v2 list price for Growth, with no discount. Credits cover availability only, not data freshness, and are the sole financial remedy for availability breaches.

Not settled: renewal terms. The text says renewal "will be documented in a new order form" and is led by the customer success manager, Elena Novak. The end date of 1 Feb 2027 is the trigger. Liability limits are deferred to the order form and acceptable use terms, which are not in this document.

Wexmoor Property Group - Master Services Agreement (signed)

Status: Executed Effective date: 2 Feb 2026 Signed: 16 Jan 2026

Parties

This Master Services Agreement (the "Agreement") is made between:

  • BG-Demo, a London data business ("BG-Demo"), represented by Jordan Pike, Account Executive, US; and
  • Wexmoor Property Group, a commercial property manager headquartered in Chicago (the "Customer").

The Customer's account owner at BG-Demo is Jordan Pike. The Customer's customer success manager is Elena Novak.

Background

The Customer manages office and light-industrial portfolios across the Midwest. It wishes to use B-Glass so that its operations teams can see tenant tickets, lease-renewal calls and service contracts in one place. BG-Demo builds and runs the brain inside the Customer's own Snowflake account.

Services and tier

BG-Demo will provide B-Glass subscription at the Growth tier, together with a one-off Growth implementation, on the terms set out below. The Growth tier covers several teams, the Growth user allowance, the Growth connector allowance, pages, chat and search, the dashboards builder and quarterly business reviews.

Commercial summary

ItemAmount
Annual recurring fee£50k
One-off implementation fee£12k
Total contract value£62k

The annual recurring fee is the subscription price for each twelve-month term. The total contract value is the sum of the annual subscription and the one-off implementation fee and should not be read as an annual price.

Term

  • Start date: 2 Feb 2026
  • End date: 1 Feb 2027

The initial term runs from the start date to the end date. Renewal is a separate conversation led by the customer success manager ahead of the end date, and any renewal will be documented in a new order form under this Agreement.

Billing and payment

  • The subscription is billed annually in advance.
  • The implementation fee is a fixed, one-off fee.
  • Invoices are payable within 30 days of the invoice date.
  • All amounts are stated and invoiced in pounds sterling (GBP).
  • No discount applies to either line.

Service levels

MeasureCommitment
Availability99.5%
P1 first response1 business hour
Service credit10% of one month's fee, for each month with an availability breach
Credit basisAvailability only

Service credits under this Agreement are earned for availability breaches only. They are not earned for data freshness. A credit is the Customer's remedy for the month concerned and does not change the annual recurring fee.

Implementation

BG-Demo will carry out the Growth implementation over eight weeks from the start date, connecting up to eight of the Customer's systems to the brain inside the Customer's Snowflake account. The Customer will give BG-Demo timely access to those systems and to the people who administer them. Delays in access may move the implementation timetable.

Customer responsibilities

The Customer will:

  • nominate a project lead and an administrator for the brain;
  • give BG-Demo the access and credentials needed to connect agreed sources;
  • tell BG-Demo promptly about changes to connected systems that could affect data loading; and
  • use the brain in line with the Growth allowances and the acceptable use terms agreed between the parties.

Data and security

The brain is built and run inside the Customer's own Snowflake account, and the Customer remains in control of its data. BG-Demo will process Customer data only to provide the services and will keep it confidential. BG-Demo will be open with the Customer's security team about any issue that affects Customer data.

Confidentiality

Each party will keep the other's confidential information secure, use it only for the purposes of this Agreement and not disclose it except to people who need it and are bound to keep it confidential, or where the law requires.

Liability

Nothing in this Agreement limits liability that cannot be limited by law. Subject to that, each party's liability under this Agreement is limited as agreed between the parties in the order form and the acceptable use terms. Service credits are the Customer's sole financial remedy for availability breaches.

Precedence

This executed Agreement sets the contracted price and terms. If another document, including any proposal, draft or CRM record, differs from it, this Agreement prevails.
