Current to 14 Oct 26The executed order form and MSA (signed 11 Feb 2026) set Growth at £50k a year plus £12k implementation, 25 Feb 2026 to 24 Feb 2027. Earlier proposals and a draft MSA differ on billing, renewal and term start, and the order form copy shows no customer signature.
Executed: three documents are stored as executed: the Master Services Agreement (signed), the Data Processing Agreement (signed) and the Order Form (signed), all created 11 Feb 2026. The order form sets the Growth tier at a £50k annual licence plus £12k implementation, total £62k, for 25 Feb 2026 to 24 Feb 2027.
Executed service terms: the order form commits 99.5% availability, a P1 first response of 1 business hour and a service credit of 10% of one month's subscription fee for availability only. The executed MSA adds a nightly refresh complete by 07:00 local time each business day.
Open items: two drafts remain on file, Proposal v1 of 31 Dec 2025 and Master Services Agreement v2 of 26 Jan 2026. Both are superseded by the executed copies signed 11 Feb 2026, but a customer may still rely on them.
Contradictions:
- The proposal of 6 Jan 2026 says billed quarterly in advance; the executed order form says billed annually in advance.
- The draft MSA v2 of 26 Jan 2026 has automatic renewal with 90 days' notice and renewal pricing per the published price list; the executed MSA says renewal is available at standard terms, with no auto-renewal.
- Proposal v1 of 31 Dec 2025 runs the term one year from go-live; the executed order form fixes 25 Feb 2026 to 24 Feb 2027.
- The security questionnaire of 28 Dec 2025 promises breach notice within 24 hours; the executed DPA allows up to 72 hours.
- The order form describes the MSA and DPA as dated 25 Feb 2026; both executed copies are dated 11 Feb 2026.
Commitments: the executed paper obliges BB-Demo to implement up to eight connectors within eight weeks, hold quarterly business reviews and bill annually in advance with 30-day payment. Either party may terminate the executed MSA on 30 days' notice, so the annual term is not firm.
Gaps: the order form copy shows a blank customer signatory and no signature, and the DPA signature lines are blank. No executed document states a renewal price or notice date before the term ends on 24 Feb 2027. The onboarding plan of 25 Feb 2026 does not show whether go-live was reached. All eight documents were read.
