Lewis Kerr summarises the Enterprise deal at £146k including implementation. Procurement Manager Fiona Marsden asks for separate lines, open connector wording and clear payment terms, and does not want to rush the 14 Feb 2025 target.

Ask: Fiona wants the £146k confirmed as a total including implementation, with subscription and implementation on separate lines. She also wants the connector go-live wording left open until IT agrees timings, and payment terms and invoicer stated.

Customer view: She would rather not rush towards 14 Feb 2025. Lewis agrees to all three points and says the date can move.

Next: Lewis sends a revised order form and Rachel Dunmore is named as the finance contact for invoicing.

Malcolm, Fiona, Bernadette, Thank you for your time on the last call. I wanted to put in writing where we got to, so that nobody is working from memory. What you want to buy: the Enterprise tier of the company brain, so that your branch, key-account and credit-control teams see each trade account's orders, disputes, calls and invoices in one place. The deal value we discussed is £146,500 in total. To put a number on it, that figure includes the one-off implementation fee, so it is not an annual price. VAT is shown separately on the order form. What is still open: - Fiona, the payment schedule and the wording on the connector commitments, which I know you want to review line by line. - Bernadette, how the invoice should reach your team so that it goes to the right person in credit control. - Malcolm, your read of the schedule once Fiona has been through it. Our target is to have the order form signed by 14 Feb 2025. I'll send the full schedule over today if that is easier to mark up. Owen is copied as he will sign for us on the commercial side. Kind regards, Lewis

Lewis, Thanks for the summary. Three points from our side before we can take this further. 1. Please confirm in the order form itself that the £146,500 is the total including implementation, and show the subscription and the implementation fee on separate lines. Malcolm will want to see the base before he looks at anything else. 2. The connectors you have listed carry a go-live commitment. Our IT team have not yet agreed that the timings are workable, so I would like that wording left open until they have. 3. Payment terms. Please state them clearly and tell us who the invoice will come from. I would rather we did not rush towards the 14 Feb 2025 date if these are not settled. Regards, Fiona Marsden Procurement Manager

Fiona, thank you, that is helpful and I agree with all three. On the first: yes, the revised order form will show the subscription and the one-off implementation fee on separate lines, with the £146,500 total beneath them and VAT separate. I'll send that over today so you have it in front of you tomorrow. On the connectors: I'll leave the go-live wording marked as open. Your IT team can tell us what is realistic and we will write it up to match, rather than the other way round. I would rather commit to a date we can keep. On payment: the terms will be thirty days from the invoice date, and the invoice will come from our finance team. Rachel Dunmore in finance will be your contact for it. Bernadette, I'll leave the details of how it reaches you to her. On timing, 14 Feb 2025 remains our target, but I am happy for it to move if your IT team need longer. Nothing is lost by getting it right. Kind regards, Lewis
