This order form is made under the Master Subscription Agreement between BB-Demo and Brimscombe Energy and forms part of it. If this order form and the Master Subscription Agreement differ on a commercial term listed below, this order form applies.

Purpose
Brimscombe Energy is subscribing to the Enterprise tier of the company brain so that its key-account, collections and complaints teams can see each business customer's sites, contracts, calls and bills together in one place. The brain is built and run inside Brimscombe Energy's own Snowflake account.

The total contract value includes the one-off implementation fee and is not an annual price. The annual price of the subscription and additional users together is £115k. The discount of 5% applies to the Enterprise subscription line for this first term only.

The subscription runs for the term above. Any renewal is agreed separately in line with the Master Subscription Agreement, and first-term discounts do not carry over to a renewal.
Billing and payment

- All invoices are in pounds sterling.

Implementation
BB-Demo will deliver the Enterprise implementation over twelve weeks from the start date, including support for Brimscombe Energy's security review. The implementation covers up to twelve connectors to the customer's source systems. BB-Demo will agree the connector list and the go-live order with Brimscombe Energy at kick-off.

Because the credit basis includes data freshness, a month in which the nightly refresh is not complete by the stated time qualifies for a service credit in the same way as a month in which availability falls below the commitment.
Users and connectors
The subscription includes the Enterprise user allowance and connector allowance. The three blocks of ten additional users ordered above extend the user allowance for the term. SSO and SCIM and the executive sponsor are included in the Enterprise tier.
General
- This order form is the entire commercial agreement for the lines listed and replaces any earlier proposal or draft for them.
- Changes must be agreed in writing and signed by both parties.
- Data protection, confidentiality, liability and termination are governed by the Master Subscription Agreement.
