Unsigned draft Enterprise MSA prepared 27 Nov 2024 for a term of 10 Jan 2025 to 9 Jan 2026. It states 99.9% availability, P1 first response of 30 minutes and a £110k list subscription at a 5% first-term discount. Not binding until executed.

What it is: a draft Master Services Agreement, marked "This draft is not binding until an executed copy is signed by both parties." The signature block is unsigned on both sides.

Commits: Enterprise service levels of 99.9% availability, P1 first response of 30 minutes and nightly refresh "Complete by 07:00 customer local time on business days". The service credit is 10% of one month's fee for each month with a breach, on availability and data freshness. Fees are billed quarterly, payable 30 days from invoice.

Unusual: a 5% discount on the subscription for the first term only, with renewal at the list price in force at that time. Three additional blocks of 10 users are included.

Not settled: liability and data protection wording, the final connector list, no connector delivery dates, the billing contact and the customer signatory. The evidence does not show an executed copy; the executed order form would override these figures.

Background

BG-Demo provides B-Glass: one AI-queryable layer over the customer's CRM, calls, emails, tickets and finance data, built and run inside the customer's own Snowflake account. Brimscombe Energy has chosen the Enterprise tier so that its key-account, collections and complaints teams can see each business customer's sites, contracts, calls and bills together.

The five per cent discount applies to the Enterprise subscription for the first term only. At renewal the subscription is charged at the list price in force for the tier at that time, unless the parties agree otherwise in writing.

Implementation

BG-Demo will deliver the Enterprise implementation as a fixed-fee engagement over twelve weeks, including support for the customer's security review. The connectors agreed in the order form will be connected to the customer's Snowflake account and made available to the customer's teams. Delivery dates for individual connectors will be agreed in the project plan and confirmed by the customer success manager.

Credit basisAvailability and data freshness

Enterprise is the only tier credited for data freshness as well as availability. A month in which either the availability commitment or the nightly refresh commitment is missed qualifies for the service credit above.

Fees and payment

  • Recurring fees are invoiced quarterly in advance in pounds sterling.
  • The implementation fee is invoiced once, as a one-off charge.
  • Invoices are payable within 30 days of the invoice date.
  • Any change to users or connectors during the term is agreed in writing and charged on the unit prices above.

Customer responsibilities

  • Provide timely access to the systems to be connected and to the people who administer them.
  • Tell BG-Demo before changing a connected system, so that connectors can be kept loading.
  • Nominate a business owner and an administrator for the brain.

Open points in this draft

  • The customer's legal team has yet to review the liability and data protection wording.
  • The final list of connectors for the project plan is still to be confirmed with the customer's IT team.
  • The billing contact at Brimscombe Energy is to be confirmed.

Signature block

This draft is unsigned. Signing copies will be issued once the open points above are settled.
