Parties
This Master Services Agreement is entered into as of 13 May 2026 between:
BG-Demo Limited, a company incorporated in England and Wales ("BG-Demo")
and
Coorabell Logistics ("Customer")
1. Services
BG-Demo shall provide B-Glass on the Starter tier, which includes:
- One team
- Up to 15 users (soft limit)
- Up to 4 data connectors
- Pages, chat and search functionality
- Six-monthly check-in
2. Term
This Agreement shall commence on 13 May 2026 and shall continue for twelve months until 12 May 2027, unless earlier terminated in accordance with the terms hereof.
3. Pricing and Payment
3.1 Subscription fee: £22k per annum, payable annually in advance.
3.2 Implementation fee: £6,000 (one-off), due upon commencement.
3.3 Total contract value: £28k.
3.4 Billing: The Customer shall be invoiced on commencement and annually thereafter in advance.
3.5 Payment terms: Net 30 days from invoice date.
4. Service Levels
4.1 Availability: BG-Demo shall maintain 99.5% availability of the Service.

4.2 P1 response time: First response to Priority 1 incidents within 4 business hours.
4.3 Service credits: If BG-Demo fails to meet the availability SLA in any calendar month, the Customer is entitled to a service credit of 5% of the monthly subscription fee.
4.4 Data refresh: Nightly refresh shall complete by 07:00 customer local time on business days.
5. Renewal
Twelve months from commencement. BG-Demo shall provide notice of renewal terms at least 90 days prior to expiry.
6. Data Protection
The parties shall execute a separate Data Processing Agreement, which shall govern the handling of Customer data.
