Parties
This agreement is made between BG-Demo, a London data business ("BG-Demo"), and Kingdon Diagnostics of Newcastle upon Tyne ("the Customer"), an independent diagnostic imaging network providing MRI and CT services from twelve sites in the North East and Cumbria.
Background
The Customer wishes to use the BG-Demo B-Glass, built and run inside the Customer's own Snowflake account, so that its contract managers can see each trust's referrals, reporting-turnaround tickets and invoices together. BG-Demo will implement and then provide the brain on the Growth tier on the terms below.

Services and support
BG-Demo will deliver the Growth implementation, connect the Customer's agreed sources up to the connector allowance of the Growth tier, and provide pages, chat, search and the dashboards builder, together with quarterly business reviews, for the term.
Data and confidentiality
The Customer's data stays in the Customer's own Snowflake account. Each party will keep the other's confidential information confidential and use it only for the purposes of this agreement. The separate Data Processing Agreement signed on the same date governs personal data.
Order of precedence
This executed agreement, including the order lines above, decides the contracted price and terms. It supersedes any earlier proposal, quote or draft.
