This Master Services Agreement (the "Agreement") is made between BG-Demo, a London data business ("BG-Demo"), and Brenneck Pay, a payment institution based in Frankfurt ("the Customer").
Background
BG-Demo provides B-Glass: one AI-queryable layer over the Customer's business systems, built and run inside the Customer's own Snowflake account. The Customer has chosen the Growth tier so that its merchant account managers and its merchant risk team can work from one view of each merchant, with the data kept in an EU region.
This Agreement records the commercial terms agreed between the parties and, once signed, is the document that decides the contracted price and terms. It supersedes any earlier draft, proposal or CRM entry.

Services
BG-Demo will provide the Growth tier of B-Glass, including pages, chat and search, the dashboards builder and quarterly business reviews with the customer success manager. BG-Demo will carry out the implementation described in the order lines, connecting the Customer's chosen source systems within the Growth connector allowance.
The Customer's data is processed inside the Customer's own Snowflake account, in an EU region.

Service credits are calculated against availability. They are not payable for data freshness under the Growth tier. A credit is a one-off adjustment to an invoice and does not change the recurring amount.
Fees and payment
BG-Demo will invoice the subscription annually in advance and the implementation fee as a one-off charge. All amounts are in pounds sterling. Invoices are payable within 30 days of the invoice date. Amounts are stated net, as shown in the order lines.
Customer responsibilities
The Customer will give BG-Demo timely access to the source systems to be connected, nominate a project contact, and keep its administrators informed of changes to connected systems that could affect data loading. The Customer remains responsible for the lawful basis on which its own data is processed.
Confidentiality
Each party will keep the other's confidential information confidential, use it only for the purposes of this Agreement, and disclose it only to those who need it and are bound by equivalent obligations. This obligation continues after the end of the Agreement.
Data protection
The parties will comply with applicable data protection law. BG-Demo will process personal data only on the Customer's documented instructions and will keep it within the EU region agreed for this deployment. A separate data processing agreement, where required, forms part of the contract set.
Changes and precedence
Any change to this Agreement must be in writing and signed by both parties. If this Agreement conflicts with any earlier draft, proposal, CRM record or invoice, this executed Agreement prevails.
Governing law
This Agreement is governed by the law agreed between the parties in the accompanying contract set, and the parties will first try to resolve any dispute through their named contacts before escalating.
