What it says
What this says
Current to 13 Oct 26Renewal proposal prepared 29 Dec 2025 by Lewis Kerr: Enterprise at £128k a year for 200 users, against £116k contracted on the current order form. Acceptance block is blank, so it is an open proposal, not executed paper.
What it is: a renewal proposal from Lewis Kerr, Account Executive, for the term after the current one ends on 27 Feb 2026. It proposes £128k annual price, 200 licensed users, billed annually in advance, "Thirty days from invoice", VAT in addition.
Commits: nothing yet. The signature and date cells are empty, and the text says "Nothing in this proposal alters the executed order form for the current term". Service levels stay as in the executed order form, which this document does not restate.
Unusual: the tone is cautious. It flags a fall in active users, large unused headroom, no tickets in the last month and no overdue invoices, and offers to reduce the user count if the usage does not support 200.
Not settled: the reason for the usage fall, the final user count, any add-ons, and whether the customer accepted. The proposal is dated before the as-of date, and the text does not show an outcome.

Merriott Lyle Distribution - Renewal Proposal
Status: Final, version 1 Prepared: 29 Dec 2025 Prepared by: Lewis Kerr, Account Executive, BB-Demo Customer success manager: Daniel Okafor, BB-Demo Subscription: Enterprise Current term ends: 27 Feb 2026
Purpose of this proposal
Merriott Lyle Distribution has been a BB-Demo customer since 28 Feb 2025. The current Enterprise subscription ends on 27 Feb 2026. This document sets out what we propose for the renewal term, what it costs, what has been happening with usage, and what we suggest the two teams do together before the end date.
To put a number on it: we are proposing to renew the Enterprise subscription at an annual price of £128k, co-termed to your renewal, for the same licensed user count of 200. All prices in this document are shown excluding VAT.
Where we are today

You bought Enterprise so that branch teams, key-account managers and the credit-control team can see each trade account's orders, disputes, calls and invoices together, in one place, inside your own Snowflake account. That reasoning has not changed, and we think it is still the right shape for a wholesale distributor of your size and spread across the Midlands and the North.
The contracted annual recurring revenue on the current order form is £116k. That is the figure the renewal is measured against.
What the usage is telling us
We want to be straightforward about this, because it is the main reason this proposal is written in a cautious tone.
- Active users have fallen. Average daily active use over the last month is noticeably lower than in the previous quarter. It is a clear drop, not a rounding difference.
- Headroom is large. The subscription licenses 200 users. The number of people actually active is a fraction of that, so most of the licensed allowance is not being used.
- Support is quiet. There were no tickets raised in the last month, and none at high priority. There are also no overdue invoices on the account.
On the face of it, that is a customer who pays on time and raises no complaints. But a quiet helpdesk alongside a shrinking user base is not necessarily good news. We would rather ask the question now than find out at the end of the term that teams have drifted back to reconciling systems by hand. We do not yet know the reason for the fall, and the records we hold do not show it. Possible causes include a reorganisation of branch teams, a change of working pattern in credit control, or simply that onboarding for newer joiners never happened. We would like to hear from you which it is.
Proposed renewal terms
| Item | Proposal |
|---|---|
| Tier | Enterprise |
| Deal type | Renewal |
| Annual subscription price | £128k |
| Licensed users | 200 |
| Current contracted annual recurring revenue | £116k |
| Billing | Annual, in advance |
| Payment terms | Thirty days from invoice |
| VAT | Charged in addition at the prevailing rate |
| Implementation fee | None, this is a renewal |
The Enterprise tier continues to include company-wide access for the licensed users, single sign-on and SCIM provisioning, and an executive sponsor on the BB-Demo side. Service levels, including availability, first-response times for top-priority tickets and the nightly refresh, remain those of the Enterprise tier as set out in your executed order form. Where the executed order form differs from anything summarised here, the executed order form applies.
What we suggest we do before the end date
We do not want the renewal to be a paperwork exercise while adoption is falling. We propose the following, with owners.
| Action | Owner | Timing |
|---|---|---|
| Review who is asking questions of the brain and which teams have gone quiet | Daniel Okafor | In January |
| Short call with your sponsor and operations lead to understand the drop in active use | Lewis Kerr | In January |
| Refresher sessions for branch and credit-control teams that have lapsed | Daniel Okafor | Before the end of January |
| Confirm the user count you actually need for the renewal term | Lewis Kerr with your sponsor | Before the end of the term |
| Agree and sign the renewal order form | Lewis Kerr | Before 27 Feb 2026 |
If the review shows that fewer than 200 users are genuinely needed, we would rather talk about it openly than hold you to a user count that does not fit. I will not push a change that the usage does not support, in either direction.
Value we would like to evidence together
You have not been asked for a value case so far, and we would like to offer one. In the review, we propose to put together, using your own data, a short summary of how branch teams, key-account managers and credit control are using the brain: the questions asked, the accounts looked up, and the disputes and invoices resolved faster as a result. That gives your finance team something concrete to point to when the renewal is approved, and it gives us an honest picture of where the brain is and is not earning its place.
Assumptions and open points
- The price of £128k is the annual price for the renewal term and is the figure on which this proposal is based.
- The licensed user count of 200 is unchanged unless you tell us otherwise.
- No add-ons are included in this proposal. If the review points to a need for additional users or connectors, I will quote them separately and co-termed to your renewal.
- Nothing in this proposal alters the executed order form for the current term, which continues until 27 Feb 2026.
Next steps
- Reply to confirm a time in January for the usage review call.
- Daniel Okafor will share the usage breakdown ahead of that call.
- Following the review, I will confirm the final user count and send the renewal order form over the same day.
Kind regards, Lewis
