Draft Enterprise renewal proposal dated 22 Dec 2025, prepared by Lewis Kerr. It proposes £128k per year against a current £116k, with 200 users and no discount. It is not a contract; the executed order form decides price and terms.

What it is: a draft renewal proposal for the Enterprise tier, ahead of the term ending 27 Feb 2026. It states "Nothing in it is agreed until an order form is executed under the MSA".

Commits: nothing binding. It proposes £128k annually in advance, thirty-day payment terms, one year, 200 licensed users and no implementation fee or discount. Service levels are not restated in figures.

Unusual: the proposed price is above the £116k it calls current annual recurring revenue, and the draft says active use is "well below" 200 users yet keeps 200.

Not settled: user count, billing frequency, the order form signatory and any connector commitments. The text does not show whether it was ever sent, accepted or replaced, and it is stale against the as-of date.

1. Purpose of this proposal

This draft sets out how we propose to renew Merriott Lyle Distribution on the Enterprise tier when the current term ends on 27 Feb 2026. It is a working document. Nothing in it is agreed until an order form is executed under the MSA, and the executed order form will take precedence over anything written here.

To put a number on it, the proposed annual price for the renewal term is £128k, and the current contracted annual recurring revenue is £116k. Prices are quoted exclusive of VAT, which is added at the prevailing rate on the invoice.

2. Where we are today

Merriott Lyle has been a BB-Demo customer since 28 February 2025. You bought Enterprise so that branch teams, key-account managers and credit control see each trade account's orders, disputes, calls and invoices together, rather than reconciling them by hand across systems.

A short summary of the past year, from our own records:

  • Licensed users: 200 on the Enterprise tier.
  • Active use: steady across the year, with a slight fall in average active users against the prior quarter. Usage sits well below the licensed number.
  • Support: no tickets raised in the last thirty days, and none of high priority.
  • Invoices: none overdue.

We read this as a stable, well-run account with no service concerns. The open question is how much value the wider branch network is getting, not whether the platform is working.

3. What we propose

TermOne year, from the end of the current term
Annual price£128k
BillingAnnually in advance, thirty-day payment terms; quarterly billing available on request

The Enterprise tier continues to include SSO and SCIM, an executive sponsor, the Enterprise connector allowance, and the Enterprise service levels for availability, first response on priority one issues and data freshness, with service credits as set out in the order form. We do not propose to change any service level in this renewal.

4. Position on users

We have not recommended any change to the licensed user count in this draft. Because active use is well below 200, there are two sensible options, and we would like your view before we finalise:

  1. Keep 200 users. This leaves room for further branch rollout and keeps the position simple.
  2. Review the user count together. If you expect the active base to stay where it is, we can look at whether the allowance fits what you need. Any change would affect the price in section 3, and we would re-issue this proposal.

We would not suggest adding users or connectors on the strength of current usage, and nothing in this draft does.

5. Making the next year count

So that the renewal conversation is about value rather than price alone, Daniel Okafor will work with your team on the following before the term ends:

  • A short summary of questions asked in the brain by branch, key-account and credit-control teams over the last year, and who is asking them.
  • A view of which branches are not yet using the brain, so you can decide whether wider adoption is a priority for the coming year.
  • A check that every connected source is still loading as expected, so that the brain is not answering from stale data.

6. Open points

This draft is still open on the following:

  • Confirmation from Merriott Lyle of the user count for the renewal term.
  • Confirmation of the billing frequency, annual or quarterly.
  • Confirmation of who will sign the order form for Merriott Lyle.
  • Whether any connector commitments from the original order form need restating in the renewal.

8. Important notice

This proposal is a draft and does not form part of any contract. Prices exclude VAT. The executed order form, and the MSA it sits under, decide the contracted price and terms.
