What it says
What this says
Current to 13 Oct 26Draft BB-Demo proposal for the Enterprise tier, dated 31 Dec 2024. It prices the annual subscription at £116k and the total deal value at £146k including one-off implementation. It is not contracted; no availability or P1 figures are stated.
What it is: a working draft proposal from Tom Ashdown, Account Executive, for Merriott Lyle Distribution. It says "nothing here is contracted yet" until an executed order form sits under the MSA.
Commits: nothing binding. It states £116k as the annual subscription and £146k as the total deal value, which "includes the one-off implementation fee". On renewal "only the annual subscription applies".
Unusual: service levels are described only in general terms (highest availability, fastest P1 response, credits for freshness). No figures are given, and the proposal price differs from the v1 list in the company brief.
Not settled: the connector list and go-live commitments, the executive sponsor and security reviewer, optional extras, billing frequency and start date. The evidence does not show whether an order form followed.

Merriott Lyle Distribution - Proposal v1
Status: Draft

| Account owner | Lewis Kerr |
| Customer success manager | Daniel Okafor |
| Date | Tuesday 31 December 2024 |
| Tier proposed | Enterprise |
This is a working draft for discussion. Commercial terms are not final until they sit in an executed order form under the MSA, and nothing here is contracted yet.
1. Context
Merriott Lyle Distribution is a builders' merchant and plumbing and heating wholesaler with branches across the Midlands and the North. Your trade customers deal with several parts of the business at once: the branch counter, the key-account managers and the credit-control team.
Read the whole document (6,424 characters)
From our conversations, the day-to-day problem is that each of those teams sees only part of a trade account. An order sits in one system, a dispute in another, the phone calls somewhere else again, and the invoice history in the accounting system. Someone in credit control chasing a late payment may not know that the branch has an open complaint, and a key-account manager may walk into a call without knowing the account is on hold.
The aim of this proposal is simple: let people across the business see each trade account's orders, disputes, calls and invoices together, and ask questions of that picture in plain English.
2. What BB-Demo proposes
We propose the Enterprise tier of the company brain: one AI-queryable layer over your CRM, call recordings, email, helpdesk tickets, finance and the other systems your teams rely on. It is built and run inside your own Snowflake account, so your data stays under your control and is not copied into a separate BB-Demo platform.
Why Enterprise
- Company-wide reach. The branch, key-account and credit-control teams all work from the same layer rather than three separate ones.
- Room to grow. The Enterprise user and connector allowances are sized for a company-wide rollout, not a single team.
- Security and identity. Single sign-on and automated user provisioning, so access follows your existing joiner and leaver process.
- Executive sponsor. A named senior sponsor at BB-Demo for the relationship.
- Higher service levels. The Enterprise availability commitment and the fastest priority-one first response, with service credits covering both availability and data freshness.
- Security review support. Included in the implementation, so your IT and information security colleagues have help with their questions.
3. Scope
Teams in scope at launch
| Team | What they will do with the brain |
|---|---|
| Branches | Look up a trade account's recent orders, open disputes and last contact before serving or calling a customer |
| Key accounts | Prepare for account reviews with orders, calls and invoices in one view |
| Credit control | See disputes and conversations alongside overdue invoices before chasing |
Data sources
The connectors to be agreed in the order form will cover, at minimum, your CRM, the accounting system, call recordings, shared mailboxes and the helpdesk. Each connector promised in the order form will carry a commitment to go live within an agreed number of days. We will confirm the exact list and commitments with your IT team before the order form is drafted.
Out of scope for this proposal
Data residency outside the UK, the on-site training day and the Sandbox are not included in the figures below. We can price them separately if they become relevant.
4. Pricing
| Item | Basis | Amount |
|---|---|---|
| Enterprise subscription | Annual, in advance | £116k |
| Implementation | One-off, fixed fee, including security review support | Included in the total below |
| Total deal value | Subscription for the first year plus the one-off implementation fee | £146k |
To be clear about what each figure means:
- £116k is the annual subscription price.
- £146k is the total value of the deal. It includes the one-off implementation fee, which is charged once at the start and does not recur.
- On renewal, only the annual subscription applies.
Standard payment terms apply to invoices. Quarterly billing is available on request.
5. Service levels
The Enterprise tier carries the highest availability commitment and the fastest first response for priority-one issues. The nightly refresh is expected to complete each business morning, and Enterprise is the tier where service credits apply to data freshness as well as availability. If your team needs any of these changed, the order form is where we would write that down.
6. How we would run the implementation
| Phase | What happens | Owner |
|---|---|---|
| Kick-off | Confirm teams, sponsors and the connector list | Tom Ashdown with your sponsor |
| Security review | Answer your information security questions and agree access | BB-Demo with your IT team |
| Connect | Bring each source into your Snowflake account and check the data | BB-Demo |
| Pilot | A small group in each of the three teams asks real questions on their own accounts | Daniel Okafor |
| Rollout | Wider access, training and a first review of usage | Daniel Okafor |
The implementation is a fixed-fee engagement, so the scope above is what the implementation fee covers. Daniel Okafor, as customer success manager, would own adoption once you are live, including the regular reviews.
7. Open points
These are still to be settled before this proposal moves out of draft:
- The final list of connectors and the order in which they go live.
- Who at Merriott Lyle Distribution will act as executive sponsor and security reviewer.
- Whether any of the optional extras should be priced in.
- The preferred billing frequency.
- The target start date for the implementation.
8. Next steps
- Tom Ashdown to walk your team through this draft and note any changes.
- Your IT contact to share the systems list so the connectors can be confirmed.
- BB-Demo to turn the agreed scope into an order form under the MSA, and share the security materials.
- Lewis Kerr to confirm the final commercial terms.
If anything in here does not match what you were expecting, say so and I will correct it. I would rather get the paperwork right now than untangle it later.
Best, Tom
Tom Ashdown Account Executive, BB-Demo
