Parties
This Master Services Agreement is made between:
- BG-Demo, a data business based in London ("BG-Demo"); and
- Harrowden Foods, a food manufacturer based in Leicester ("the Customer").
BG-Demo's account owner for this agreement is Lewis Kerr. BG-Demo's customer success manager is Amara Obi.
Background
Harrowden Foods makes own-label chilled ready meals and bakery for UK supermarkets from two sites. The Customer wishes to use the BG-Demo B-Glass so that its commercial insights and customer service teams can see retailer accounts, service-level complaints and orders together. BG-Demo builds and runs the brain inside the Customer's own Snowflake account.
Services and tier
BG-Demo will provide B-Glass subscription at the Growth tier, together with a fixed-fee Growth implementation, on the terms of this agreement.

Billing and payment

Service credits under this agreement are given for availability. Data freshness is monitored and reported, but it is not a credited measure at the Growth tier.
Implementation
BG-Demo will carry out the Growth implementation over eight weeks from the start date, connecting up to eight of the Customer's source systems to the brain. Connectors named in any schedule agreed between the parties carry the live-by commitment stated in that schedule. The Customer will provide timely access to the systems concerned and a named administrator for each.
Customer data
The Customer's data stays in the Customer's own Snowflake account. BG-Demo processes it only to provide the services and as the Customer instructs. BG-Demo will keep the Customer's data confidential and apply appropriate security measures throughout the term.
Use of the services
The Customer may use the services for its own internal business purposes, through the users and connectors included in the Growth tier. Additional users or connectors can be added by written order form, priced at the rates then in force.
Changes
Any change to this agreement must be in writing and signed by both parties. Where a later executed order form changes a price or a service level, that order form prevails for the lines it covers.
